These Affiliate Program Terms and Conditions (this “Agreement”) govern Your application for, and any subsequent participation in, the affiliate program (the “Program”) operated by My Doodle Life (the “Company”), in connection with the promotion of the Company’s My Doodle Life App and other products.
By clicking “I Accept the Terms and Conditions” (or by otherwise enrolling in or participating in the Program), You accept the terms of this Agreement, You indicate that You have read and understood this Agreement, and You agree that You are bound by its terms.
Section 1 – Parties
All references to “You” and “Your” mean and refer to the person or entity who has enrolled in the Program and accepted this Agreement (the “Affiliate”). The Company and You are each referred to herein as a “Party,” and collectively as the “Parties.” You agree to notify the Company in writing within twenty-four (24) hours if the legal name of Your business, Your account ownership, or Your payout information changes, and You certify that all such information is truthful and accurate. Your Affiliate account may not be sold, pledged, transferred, assigned, attributed to, or otherwise used, directly or indirectly, by any person or entity other than the person or entity that enrolled in the Program and is the registered account holder.
Section 2 – Application and Enrollment
You agree to provide all information requested by the Company in connection with Your application and/or Your continued participation in the Program (including, without limitation, tax documentation, legal name, payout details, and examples of Your current promotional practices), and You affirm that all information You provide is truthful, accurate, and complete (without material omission). The Company retains sole and exclusive discretion to determine whether You qualify for participation in the Program, and not everyone who applies will qualify. Your failure to strictly adhere to this Section 2 may result in the forfeiture of Commissions at the sole discretion of the Company.
Section 3 – Promotion Period; Affiliate Links and Tracking
3.1 Promotion Period. The Program relates to the promotional campaign for the Event, which is presently expected to open on or about August 24, 2026 and continues until further notice. The Company may modify the Promotion Period, the Event dates, the offers, and the pricing of any product at any time in its sole discretion. Without limiting the foregoing, You acknowledge and agree that the Company may split-test pricing, offers, and funnel configurations throughout the Promotion Period in order to optimize conversions, and that Commissions will be calculated on the actual Net Sale Amount of each individual transaction, which may vary between transactions as a result of such testing.
3.2 Affiliate Links. Upon approval, You will receive one or more unique affiliate tracking links and/or an affiliate identifier (collectively, Your “Affiliate Link”) issued through the affiliate tracking platform designated by the Company (the “Platform”). The Company may designate, substitute, or supplement the Platform at any time, and may track some or all referrals and Commissions through manual or supplemental means. Only Sales properly registered to Your Affiliate Link (or otherwise verified by the Company in its records) are eligible for Commissions.
3.3 Attribution. In the event a prospective customer (a “Prospect”) has been referred by more than one affiliate, attribution will be determined by the Platform’s tracking methodology; absent contrary data, the first affiliate referral (first click) will be credited, in accordance with the Program’s first-click attribution model. Once a Sale has been attributed to an Affiliate, it may not be re-attributed to another affiliate, except that the Company shall have the sole and exclusive authority to deny, revoke, or re-attribute any Commission based on affiliate-hopping, self-referral, cookie-stuffing, forced clicks, or any other action that creates inaccurate attribution or multiple commissions for one true transaction, in each case as determined in the Company’s sole discretion.
Section 4 – Commissions
4.1 Commissionable Products. Subject to the terms of this Agreement, You will be eligible to earn a commission (a “Commission”) on the following products and offers when sold to a Prospect attributed to Your Affiliate Link (each, a “Sale”):
My Doodle Life App Founding Member
Current pricing for each offer will be communicated to Affiliates through the affiliate resource materials.
The Company reserves the right to add, remove, re-price, or modify commissionable offers at any time.
4.2 Commission Rates. Commissions are calculated on the Net Sale Amount, defined as the amounts actually collected by the Company for a Sale, less refunds, chargebacks, sales and similar taxes, and payment processing fees.
Commission rates are as follows:
(a) First-Tier Commission: thirty percent (30%) of the Net Sale Amount on each Sale attributed to Your Affiliate Link.
4.4 Commission Holdback Period. All Commissions are subject to a thirty (30)-day holdback period beginning on the date of the applicable Sale (the “Holdback Period”) but no earlier than 30 days following the final day of the event. No Commission is earned, due, or payable unless and until the applicable Sale remains in good standing without refund, chargeback, cancellation, or payment failure — through the expiration of the Holdback Period. If a Sale is refunded, charged back, or canceled during the Holdback Period, no Commission is payable on that Sale.
4.5 Refunds and Clawbacks. If, after a Commission has been paid, the underlying Sale results in a refund, chargeback, cancellation, or non-payment, the corresponding Commission amount will be deducted from Your future Commissions or, if no future Commissions are forthcoming, shall be promptly repaid by You to the Company upon demand.
4.6 Payment Mechanics. Subject to Sections 4.4 and 4.5, Commissions will be paid on a schedule, in a currency, and through a payment method or third-party payment provider designated by the Company and communicated to Affiliates through the affiliate resource materials or the Platform. Some payment methods may incur processing fees that may be deducted from Your Commissions. The Company may establish a reasonable minimum payout threshold. You may be required to register with the Company’s designated Platform or third-party payment provider in order to receive payment.
4.7 Tax Documentation. Before any Commission is paid, You must provide the Company with a completed IRS Form W-9 (for U.S. persons) or applicable Form W-8 (for non-U.S. persons), together with any supporting documentation reasonably requested by the Company or its payment provider. The Company may withhold taxes where required by applicable law. You are solely responsible for complying with all tax laws in Your jurisdiction(s), including the payment of all required taxes and the filing of all required returns. Commissions for which the required tax documentation has not been provided within ninety (90) days of request will be deemed forfeited.
4.8 Prohibited Sales Practices. No Commissions will be paid on (a) Your own purchases or purchases made through accounts owned or controlled by You or Your affiliates, family members, or business entities; (b) purchases procured through cash rebates, monetary incentives, or other consideration paid to a Prospect in exchange for purchasing; (c) fraudulent, manipulated, or artificially generated transactions; or (d) Sales attributable to individuals or entities located in embargoed or sanctioned territories or appearing on the U.S. Treasury Department’s Specially Designated Nationals List. You are not permitted to maintain more than one Affiliate account. If the Company determines, in its sole and exclusive discretion, that any Sale was procured fraudulently or as a result of any violation of this Agreement or applicable law, no Commission will be earned or paid for such Sale; any amounts previously paid shall be deducted from future Commissions or repaid by You on demand; and the Company may terminate this Agreement immediately, without notice, and without liability to You.
Section 5 – Advertising and Conduct Rules
5.1 General Compliance. You shall publish and distribute all advertisements and promotional content in strict compliance with all applicable laws, regulations, and guidelines, including without limitation laws prohibiting deceptive or misleading advertising, the federal CAN-SPAM Act (15 U.S.C. § 7701 et seq.), the FTC’s Endorsement and Testimonial Guides (16 C.F.R. Part 255), applicable data protection laws (including the GDPR, UK Data Protection Act, and CCPA, to the extent applicable), and the rules of each platform on which You advertise. You are solely responsible for Your compliance with all applicable laws. You may not make claims concerning the Company, or any product that are inconsistent with, or beyond the scope of, the official promotional materials made available by the Company. You may not advertise by telemarketing, fax, or unsolicited text messaging.
5.2 Disclosure. On any website, email, or social media post in which You promote any related product, You must plainly and conspicuously disclose Your material connection to the Company, including that You will receive a referral commission for purchases made through Your Affiliate Link. Social media posts must include a clear and conspicuous disclosure (e.g., “#ad”) placed before any “more” truncation, and You must use each platform’s paid-partnership or branded-content disclosure tools where available. Any violation of this Section 5.2 will be deemed a material breach of this Agreement.
5.3 Non-Disparagement. You shall not comment negatively about, or disparage, the Company, Erin Taylor, My Doodle Life, or any of their respective products, services, principals, employees, affiliates, or partners, or any other affiliate participating in the Program. This Section 5.3 shall survive the termination or expiration of this Agreement.
5.4 Keyword Bidding and Paid Search Restrictions.
You shall not engage in any unlawful or deceptive search engine optimization practices. When in doubt, reach out to the Company for approval of any keyword bidding or paid search list.
5.5 Income and Earnings Claims. You are expressly prohibited from making any claim that purchasing any related product will guarantee that a purchaser will make money. Any statements regarding income or results You have personally achieved must be completely true, accurate, and supported by evidence of Your actual experience, and must be accompanied by a clear and conspicuous disclaimer substantially as follows: “These were my results. Your results will vary based on a variety of factors, including your education, effort, and market factors. There is no guarantee you will make any money.” You shall not represent any related product as a business opportunity, franchise opportunity, “business-in-a-box,” or assisted marketing plan.
5.6 Intellectual Property. Subject to Your compliance with this Agreement, the Company grants You a limited, revocable, non-exclusive, non-transferable, non-sublicensable license, during the term of this Agreement, to use the promotional materials, brand assets, and trademarks made available to Affiliates by the Company, solely for the purpose of promoting My Doodle Life products in accordance with this Agreement. You shall not register, or attempt to register, any trademark, domain name, social media handle, or other identifier incorporating or confusingly similar to any trademark, trade name, or brand of the Company or its partners. All intellectual property of the Company and its partners remains their exclusive property, and all goodwill arising from Your use inures solely to their benefit. This license terminates automatically upon termination or expiration of this Agreement.
5.7 Complaints. You must notify the Company of any consumer complaint received by You regarding Your promotion of any product within twenty-four (24) hours of receipt, at the contact address designated by the Company.
5.8 Audit and Monitoring. The Company reserves the right, but not the obligation, to audit, monitor, and otherwise review Your promotional practices at any time, and may take any action it deems suitable, reasonable, or necessary in its sole judgment, including suspension or termination of Your participation in the Program and forfeiture of any unpaid Commissions.
5.9 Traffic Quality; Incentivized Leads; Contests. All leads, registrations, and opt-ins referred through Your Affiliate Link must result from genuine consumer interest. You shall not offer or provide cash, rebates, gift cards, sweepstakes entries, or any other incentive or consideration to any person in exchange for registering for the Event or opting in through Your Affiliate Link, and You shall not generate leads through co-registration, forced clicks, bots, purchased or rented lists, or other artificial means. The Company reserves the right to audit lead quality and to exclude, adjust, or disqualify any leads, Sales, or participants that the Company determines, in its sole discretion, to result from incentivized, fraudulent, or artificially generated traffic, and to withhold associated Commissions and contest prizes.
5.10 Keyword and Brand Use Policy. You shall not use, operate, or maintain any domain name, subdomain, website title, social media handle, page, channel, or profile name that incorporates or is confusingly similar to any Protected Term, regardless of when it was registered or created. Upon the Company’s written request, You shall, within seventy-two (72) hours: (i) redirect, disable, or de-index the offending property (including via noindex directives and search engine removal tools); and (ii) if requested, transfer any such domain incorporating a Company or Event trademark to the Company at the Company’s reasonable cost. Content targeting Protected Terms in organic search must (a) not state or imply that it is the official My Doodle Life site; (b) comply with Sections 5.1 through 5.5, including no publication of product pricing and no income or earnings claims; (c) carry a clear and conspicuous affiliate disclosure; and (d) be corrected, removed, or de-indexed within seventy-two (72) hours of the Company’s written notice of non-compliance. Recordings, slides, screenshots, calendars, dashboards, and other materials from partner briefings, the affiliate portal, or affiliate communications are confidential, may not be published or shared outside the Program, and any such publication constitutes a material breach of this Agreement. Failure to cure a violation of this Section 5.10 within seventy-two (72) hours of written notice will result, at the Company’s discretion, in suspension of Your Affiliate Link, disqualification from contests, and forfeiture of unpaid Commissions pursuant to Sections 4.8, 5.8, and 6.3.
Section 6 – Term and Termination
6.1 Term. The term of this Agreement begins on the earlier of (i) Your acceptance of this Agreement or (ii) the Company’s approval of Your participation in the Program, and continues until the later of the conclusion of the Promotion Period or the payment of all Commissions earned hereunder, unless earlier terminated as provided herein.
6.2 Termination for Convenience. Either Party may terminate this Agreement at any time, with or without cause, upon written notice to the other Party. Upon termination by the Company without cause, Commissions properly earned on Sales completed prior to the effective date of termination will remain payable, subject to the Holdback Period and the other terms of this Agreement; no Commissions will accrue on Sales occurring after termination.
6.3 Termination for Cause; Forfeiture. If, in the Company’s sole discretion, You fail (or the Company suspects that You have failed) to comply with any provision of this Agreement, or You violate any applicable law, the Company may take any action it deems necessary, including suspending Your Affiliate Link or terminating this Agreement immediately and without notice. In the event this Agreement is terminated due to Your breach, You immediately forfeit all Commissions and any other amounts owed or that may in the future be owed to You, without any further liability of the Company to You.
6.4 Survival. All provisions that, by their nature, should survive termination or expiration shall survive, including without limitation Sections 4.5, 5.3, 5.6 (last sentence), 7, 8, 9, 10, and 11.
Section 7 – Independent Contractor
You are an independent contractor of the Company. Nothing in this Agreement creates any partnership, joint venture, employment, agency, or franchise relationship between the Parties. You have no right to act on behalf of, or bind, the Company in any way. The only compensation available to You under this Agreement is the Commissions described in Section 4. The Company does not promise, guarantee, or warrant Your business success, income, or sales, will not provide leads or referrals to You, and this Agreement is not a business opportunity, franchise opportunity, “business-in-a-box,” or assisted marketing plan. You are solely responsible for all costs and expenses You incur in connection with Your participation in the Program.
Section 8 – Representations and Warranties
You represent and warrant that: (a) You have the full right, power, and authority to enter into and perform this Agreement; (b) all information You have provided or will provide to the Company is truthful, accurate, and complete; (c) there are no prior or pending government investigations or inquiries of, or prosecutions against, You by the Federal Trade Commission or any other federal, state, or foreign governmental agency or industry regulatory authority, nor any prior or pending private lawsuits against You relating to alleged intentional torts or alleged violations of any consumer protection or advertising laws; and (d) You are not a party to any agreement that prohibits or restricts You from promoting the Event or the Company’s products. If You become the subject of any such investigation, inquiry, prosecution, lawsuit, or restrictive agreement at any time during the term of this Agreement, You must notify the Company within twenty-four (24) hours, and the Company may immediately terminate this Agreement, in which case all pending Commissions shall be forfeited.
Section 9 – Indemnification
You agree to protect, defend, indemnify, and hold harmless the Company and its officers, directors, members, managers, employees, owners, parent companies, partners, and assigns from and against all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) of every kind and character arising out of or relating to Your conduct, acts, or omissions in connection with Your participation in the Program, including without limitation any breach of this Agreement, Your advertising and promotional activities, or Your violation of any applicable law. This provision expressly survives the termination of this Agreement.
Section 10 – Limitation of Liability
EXCEPT WHERE OTHERWISE INAPPLICABLE OR PROHIBITED BY LAW, IN NO EVENT SHALL THE COMPANY OR ANY OF ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, SHAREHOLDERS, EMPLOYEES, INDEPENDENT CONTRACTORS, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR OTHER DAMAGES, FEES, COSTS, OR CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT OR THE PROGRAM, REGARDLESS OF WHETHER THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE THEORY OF LIABILITY, WHETHER FOR BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), WARRANTY, OR OTHERWISE. IN NO EVENT SHALL THE COMPANY’S AGGREGATE LIABILITY TO YOU EXCEED THE TOTAL AMOUNT OF COMMISSIONS ACTUALLY PAID OR PROPERLY PAYABLE TO YOU UNDER THIS AGREEMENT DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Section 11 – Dispute Resolution; Governing Law
Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, that cannot be resolved through good-faith negotiation within sixty (60) days shall be resolved by binding, confidential arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitration shall be conducted by a single arbitrator in Dubai, United Arab Emirates, or remotely by agreement of the Parties. EACH PARTY WAIVES ANY RIGHT TO PURSUE CLAIMS ON A CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS, AND ANY RIGHT TO A JURY TRIAL. This Agreement shall be governed by and construed in accordance with the laws of Dubai, United Arab Emirates, without regard to its conflict-of-laws principles.
Section 12 – Miscellaneous
12.1 Entire Agreement. This Agreement represents the entire agreement between the Parties with respect to its subject matter and supersedes any other written or oral agreement between the Parties pertaining to Your participation in the Program.
12.2 Modification. This Agreement may be modified by the Company at any time. Amendments or modifications will be binding on You when sent to You via email or posted in the Platform or affiliate resource center. No amendment shall be valid unless prepared or issued by the Company. Your continued participation in the Program or acceptance of Commission payments constitutes Your acceptance of any modification.
12.3 Assignment. You may not assign, transfer, or delegate this Agreement or any rights or obligations hereunder without the prior written consent of the Company. The Company may assign this Agreement without restriction.
12.4 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
12.5 No Waiver. The Company’s failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or of the right to enforce it at a later time.
12.6 Notices. Notices to the Company shall be sent to support@mydoodlelife.com. Notices to You will be sent to the email address associated with Your Affiliate account.
